CRIDO’s legal team advised Avenger Flight Group on the sale of a 55% stake in the Warsaw-based pilot training centre to Enter Air. The transaction, carried out in cooperation with CRIDO’s tax team, also included the repayment of the existing simulator financing. This marks yet another example of successful transaction support delivered by CRIDO’s experts.

Avenger Flight Group is a global leader in commercial aviation simulation and training, and the world’s largest private training organization operating full flight simulators. The Warsaw centre, operational since 2020, specializes in simulator-based training for civil aviation pilots. A key component of the facility is a state-of-the-art CAE 7000 XR simulator, used for training Boeing 737 pilots.

The buyer is part of the Enter Air group, a privately owned charter airline in Poland.

Elsa Gagnon, Esq. Sr. Vice President & General Counsel comments:
„AFG values its collaboration with CRIDO since the commencement of operations in 2020 in Poland. CRIDO demonstrated diligence and commitment in successfully completing this transaction. Over the past five years, the partnership between AFG and CRIDO has highlighted the importance of teamwork and expertise. AFG extends its appreciation for the comprehensive support provided by CRIDO and its team throughout this process.”

The legal advisory team from CRIDO Legal included Witold Gwizdek (Managing Associate) and Karol Kuziak (Senior Associate) from the Corporate team, responsible for the transaction side. Maciej Georg (Partner) and Julia Dziubińska (Senior Associate) from the Banking & Finance team handled the documentation related to the debt repayment. The tax team was led by Sören Godniak (Senior Manager), in collaboration with Katarzyna Dąbkowska-Rybka (Manager). The entire process was coordinated by Mateusz Baran, Partner at CRIDO Legal.

Mateusz Baran, Partner at CRIDO Legal, comments:
“We are very pleased with the successful closing of this transaction. It involved multiple teams working in parallel across various aspects of the project, and we’re proud to have supported the client in a truly holistic way. What’s particularly satisfying is that Avenger Flight Group has partnered with us since day one of their operations in Poland – from assisting with the creation of the joint venture with Enter Air, through advising on key stages of their growth, to now supporting the share sale. This transaction symbolically marks the completion of a full cycle we’ve had the privilege to be part of.”

The completion of this transaction is not only a success for Avenger Flight Group but also another testament to the effectiveness of CRIDO’s operational model. By combining the knowledge and experience of its interdisciplinary M&A team with deep sector-specific insights into aviation, CRIDO continues to deliver real business value to its clients. This is yet another experience that reinforces CRIDO’s strong competencies in the aviation industry and its ability to support clients through the most complex processes.
