CRIDO advised OstroVit on a strategic transaction with EthicSport Italia

This time, CRIDO supported OstroVit Sp. z o.o., a renowned producer of dietary supplements and healthy lifestyle products, in acquiring 85% of the shares in EthicSport Italia, an Italian company operating in the sports nutrition market under the "Ethicsport" brand. The transaction will enable the expansion of the product portfolio and the creation of new distribution channels, leading to the dynamic growth of both companies.

OstroVit is a leading brand and a recognized producer of dietary supplements. It operates in over 70 countries. In 2023, the company generated over 120 million PLN in revenue and employed 130 people. The collaboration with the new partner will introduce the company to the next phase of development, enabling expansion into new markets and the development of the product portfolio while maintaining the highest quality.

CRIDO supported OstroVit throughout the entire transaction process. Artur Marszałkiewicz, Managing Partner of Corporate Finance, along with his team (Aleksandra Małolepsza – Associate Director, Jacek Kulczykowski – Senior Financial Analyst), advised on the transaction from the very beginning, starting with market analysis and identifying the acquisition target, through transaction structuring, coordination of the due diligence process, to negotiating the agreement on business and financial aspects.

Meanwhile, Przemysław Furmaga, Partner, Head of M&A Legal, along with his team (Andrzej Dunikowski – Managing Associate, Filip Sobocinski – Senior Associate, Julia Dziubińska – Associate), coordinated the due diligence process, prepared and negotiated transaction documentation, coordinated the work of Italian advisors, supervised the process of obtaining the Italian authority's consent for the transaction, and supported the client during the signing and closing of the agreement.
